Terms of Use (EULA)
These Terms of Use (the "Terms" or "EULA") govern your download, installation and use of the Mimos app and related services. They supplement our Privacy Policy, which forms part of these Terms. By creating an account or using Mimos, you confirm that you have read and accept these Terms. If you do not agree, do not use the app.
1. Acceptance of the terms
Mimos is operated by Mimos Technology Inc. ("Mimos", "we", "us"). These Terms form an agreement between you — the person or business using the app — and Mimos. To use Mimos you must be of legal age and have the legal capacity to enter into a contract. If you use the app on behalf of a business, you represent that you are authorised to bind that business to these Terms.
2. Licence to use the app
Subject to these Terms, Mimos grants you a limited, personal, non-exclusive, non-transferable and revocable licence to install and use the app on devices you own or control, solely to run your business and in accordance with the Usage Rules of the applicable app store. You do not acquire ownership of the software: only the right to use it while these Terms remain in force.
You must not, and must not allow any third party to:
- sublicense, resell, rent, lend or assign the app;
- copy, modify or create derivative works of the app;
- reverse engineer, decompile or disassemble the software, except to the extent expressly permitted by law;
- remove or obscure any proprietary, trademark or copyright notices;
- use the app to build a competing product or service, or in any unlawful or unauthorised manner.
3. Mimos Pro subscription
Mimos offers paid features through an auto-renewable subscription, "Mimos Pro", available as a monthly plan or an annual plan. By subscribing, you accept the following terms:
- Pricing. Prices vary by country, by plan (monthly or annual) and by applicable taxes, and are set in the local currency of each country where Mimos is sold. The exact price for your country and chosen plan is always shown in the App Store or Google Play before you confirm the purchase, and that displayed price is the one that applies.
- Free trial. New subscribers get a 7-day free trial. If you do not cancel before it ends, the trial automatically converts into a paid subscription at the price shown for your country and plan.
- Billing. Payment is charged to your Apple ID or Google account, depending on the store you subscribed through, upon confirmation of purchase.
- Auto-renewal. The subscription renews automatically for the same period (monthly or annual) unless you turn off auto-renewal at least 24 hours before the end of the current period. The renewal amount is charged within the 24 hours before the end of the period.
- Management and cancellation. You can manage your subscription and turn off auto-renewal at any time in your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period, and you keep access to Mimos Pro until then.
- Refunds. No refund is given for the unused portion of the current period, unless applicable law requires otherwise. Refunds for purchases made through Apple or Google are handled under the App Store or Google Play policies; Mimos cannot process them directly.
- Price changes. If we change the subscription price, we will notify you in advance and the new price will apply to renewal periods after the notice. If you do not accept it, you can cancel before the next renewal.
When you purchase through the App Store, the Apple Media Services Terms and Conditions also apply; when you purchase through Google Play, the Google Play Terms of Service also apply. For billing and refunds of purchases made in a store, that store's policies prevail.
4. Acceptable use and prohibited conduct
You agree to use Mimos in accordance with the law and these Terms. In particular, you must not:
- use the app for any unlawful, fraudulent or unauthorised purpose;
- message your clients without the legal basis or consent required by applicable law, or send unsolicited communications (spam);
- upload or transmit content that is illegal, defamatory or infringes third-party rights;
- attempt to gain unauthorised access to the platform, to other accounts or to other businesses' data;
- interfere with the security or operation of the service (for example, by introducing malware, scraping data in bulk or overloading the infrastructure).
You are responsible for all activity carried out through your account and for keeping your login credentials confidential.
5. Your clients' data
When you use Mimos to manage clients, pets, appointments and messaging, you — the business — are the controller of that personal data, and Mimos acts as a processor on your behalf. The processing of that data is governed by the Privacy Policy set out above on this page. You are responsible for having a legal basis to process your clients' data, for informing them appropriately and for handling their rights requests.
6. Intellectual property
The Mimos app and all of its software, design, interface, trademarks, logos and content are owned by Mimos or its licensors and are protected by intellectual property laws. These Terms do not transfer to you any rights in Mimos's intellectual property beyond the limited licence described in section 2. You retain ownership of the data and content you enter into the app; to provide the service, you grant us a limited licence to host, process and display it to you.
7. App stores (Apple and Google Play)
Depending on the store you downloaded Mimos from, the following additional terms apply.
7.1 Apple App Store
When you download Mimos from the Apple App Store, the following terms also apply, based on Apple's standard end-user licence agreement:
- These Terms are concluded solely between you and Mimos, not with Apple. Apple is not responsible for the app or its content.
- Apple has no obligation whatsoever to provide any maintenance or support services for the app.
- To the maximum extent permitted by applicable law, Apple gives no warranty for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; Apple will have no other warranty obligation.
- Apple is not responsible for addressing any claims relating to the app (for example, product liability, legal or regulatory non-compliance, consumer protection, or intellectual property infringement claims). Such claims are governed by these Terms and are the sole responsibility of Mimos.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce them against you.
7.2 Google Play
When you download Mimos from Google Play, the Google Play Terms of Service apply in addition to these Terms, and:
- These Terms are concluded solely between you and Mimos, not with Google. Google is not responsible for the app or its content.
- You must comply with the applicable Google Play policies and usage rules, including the Google Play Terms of Service, when you use the app.
- Billing, subscription management and refunds for purchases made through Google Play are handled by Google under the Google Play Terms of Service; Mimos cannot process them directly.
- Google has no obligation to provide maintenance or support for the app; that responsibility lies solely with Mimos.
8. Disclaimer of warranties
To the maximum extent permitted by law, the app is provided "as is" and "as available", without warranties of any kind, express or implied, including — without limitation — the warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the app will be uninterrupted, timely, secure or error-free, or that all defects will be corrected. Nothing in these Terms excludes or limits any warranties or rights that cannot be excluded under law, in particular the rights granted to consumers.
9. Limitation of liability
To the maximum extent permitted by law, Mimos will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill arising from the use of or inability to use the app. Mimos's total aggregate liability for any claim relating to the app will not exceed the amount you paid Mimos for the subscription in the 12 months before the event giving rise to the claim. These limitations do not apply to liability that cannot be limited under law, such as wilful misconduct, gross negligence, death or personal injury, or consumer rights.
10. Term and termination
These Terms remain in force while you use the app. You may stop using Mimos and cancel your subscription at any time, as described in section 3. We may suspend or terminate your access, in whole or in part, if you breach these Terms, if your use poses a risk to security or to other users, or if required by law. On termination, the licence granted to you ends and you must stop using the app; provisions that by their nature should survive (intellectual property, disclaimer of warranties, limitation of liability and governing law) will remain in effect. You may export or request your data in accordance with the Privacy Policy.
11. Governing law and dispute resolution
These Terms are governed by the laws of Spain and of the European Union, without prejudice to the mandatory consumer-protection rules of the user's country of habitual residence, which continue to apply. Any dispute will be submitted to the competent courts under applicable law; if you are a consumer, you may bring proceedings before the courts of your place of residence. The European Commission provides an online dispute resolution platform available at ec.europa.eu/consumers/odr.
12. Changes to these terms
We may update these Terms to reflect changes in the product, our providers or the law. We will post the updated version with a new "Last updated" date and, where the changes are material, notify you by reasonable means (for example, in the app). Continued use of the app after the changes take effect constitutes acceptance of the new Terms.
